1. Introduction

Welcome to Lugh Labs. These Terms and Conditions ("Terms") govern your access to and use of the Lugh Labs platform, website, and services (collectively, the "Services") operated by Lugh Labs Technologies Inc., a Delaware corporation doing business as "Lugh Labs."

Lugh Labs is an AI-powered recruiting and talent-matching platform designed to connect job seekers with employers through automated workflows, intelligent profile building, and data-driven insights.

By creating an account, accessing our website, or using any of our Services, you enter into a legally binding agreement with Lugh Labs Technologies Inc. These Terms apply to all users, including candidates, employers, and other visitors to our platform.

2. Eligibility

To use Lugh Labs, you must meet the following eligibility requirements:

• You must be at least 16 years of age or older to create an account and use our Services.
• If you are between the ages of 16 and 18, you must have permission from a parent or legal guardian, and they are responsible for your compliance with these Terms.
• You must provide accurate, current, and complete information during registration.
• You must not be prohibited from using our Services under any applicable laws or regulations.

By using Lugh Labs, you represent and warrant that you meet these eligibility requirements.

3. Account Registration & Security

3.1 Account Creation

To access certain features of Lugh Labs, you must create an account by providing accurate and complete information, including your name, email address, and other requested details. You agree to:

• Provide truthful, accurate, and up-to-date information.
• Maintain and promptly update your account information as necessary.
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Immediately notify Lugh Labs of any unauthorized use of your account or any other security breach.
• Accept full responsibility for all activities that occur under your account.
• Ensure you log out of your account at the end of each session when using shared or public computers.

Lugh Labs is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Services Overview

Lugh Labs provides an AI-driven platform designed to streamline recruiting and talent acquisition. Our Services include, but are not limited to:

• Candidate Features: Resume building, portfolio creation, AI-powered profile optimization, skill assessments, and personalized job matching.
• Employer Features: Candidate sourcing, automated screening, talent pipelines, and hiring workflow automation.
• AI Agents: Intelligent automation for communication, scheduling, and candidate evaluation.
• Developer Tools: Coding environments, project hosting, and portfolio deployment.

5. Subscriptions & Payments

5.1 Subscription Plans

Lugh Labs operates on a freemium business model with the following tiers:

• Free Plan: Basic access to core features with usage limitations.
• Premium Plan: Enhanced features, higher limits, and priority support, available as monthly or annual subscriptions.
• Enterprise Plan: Custom solutions for organizations with dedicated support and advanced integrations.

5.2 Automatic Billing

Paid subscriptions are billed automatically on a recurring basis (monthly or annually, depending on your selected plan). By subscribing to a paid plan, you authorize Lugh Labs to charge your payment method on file at the start of each billing cycle until you cancel your subscription.

5.3 Refund Policy

We offer a 14-day refund policy from the date of your initial payment for new subscriptions. Refunds are available unless substantial usage of premium features has occurred during this period. To request a refund, contact us at support@lughlabs.ai.

Refunds are processed within 7-10 business days. No refunds are provided for partial billing periods or unused portions of a subscription after the 14-day window.

5.4 Price Changes

Lugh Labs reserves the right to modify subscription pricing with at least 30 days' notice. Existing subscribers will be notified of price changes and may cancel before the new pricing takes effect.

6. User Content & Data Rights

6.1 Ownership

You retain all ownership rights to the content you upload, submit, or create on the Lugh Labs platform, including resumes, portfolios, project files, and personal information ("User Content").

6.2 License Grant

By uploading User Content to Lugh Labs, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, process, adapt, and display your User Content solely for the purposes of:

• Providing, operating, and improving our Services.
• Matching candidates with relevant opportunities.
• Training and improving our AI models using anonymized and aggregated data.
• Complying with legal obligations and enforcing our Terms.

6.3 Privacy & Data Protection

All personally identifiable information is handled in accordance with our Privacy Policy. We implement industry-standard security measures to protect your data, but no method of transmission over the internet is 100% secure.

6.4 Content Standards

You agree that your User Content will not:

• Violate any applicable laws or regulations.
• Infringe upon the intellectual property rights of others.
• Contain false, misleading, or fraudulent information.
• Include malicious code, viruses, or harmful components.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Unauthorized Access: Attempting to access accounts, systems, or networks without authorization.
• Data Scraping: Using automated tools to extract data from the platform without express written permission.
• Reverse Engineering: Decompiling, disassembling, or reverse engineering any part of our Services or technology.
• Fraudulent Use: Creating fake accounts, submitting false information, or engaging in deceptive practices.
• Interference: Disrupting, degrading, or impairing the functionality of our Services or servers.
• Resale: Selling, renting, or redistributing access to Lugh Labs without authorization.
• Harassment: Engaging in harassment, abuse, or discriminatory behavior toward other users.

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Intellectual Property

All intellectual property rights in the Lugh Labs platform, including but not limited to software, algorithms, designs, trademarks, logos, graphics, and content ("Lugh Labs IP"), are owned by or licensed to Lugh Labs Technologies Inc.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business purposes. You may not:

• Copy, modify, distribute, or create derivative works from Lugh Labs IP.
• Use our trademarks, logos, or branding without prior written consent.
• Remove or alter any copyright, trademark, or proprietary notices.
• Reproduce or resell any portion of our Services or technology.

Unauthorized use of Lugh Labs IP may result in legal action and damages.

9. Disclaimers & Limitation of Liability

9.1 No Employment Guarantees

Lugh Labs is a platform that facilitates connections between candidates and employers. We do not guarantee employment, job offers, interviews, or any specific hiring outcomes. All hiring decisions are made solely by employers, and Lugh Labs is not responsible for:

• Hiring or employment decisions made by employers.
• Terms of employment, compensation, or working conditions.
• The accuracy or truthfulness of information provided by candidates or employers.
• Disputes arising between users.

9.2 "As-Is" Provision

The Services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Uninterrupted, error-free, or secure operation of the platform.
• Accuracy, reliability, or completeness of content or results.

9.3 Limitation of Liability

To the fullest extent permitted by law, Lugh Labs Technologies Inc., its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from:

• Your use or inability to use the Services.
• Unauthorized access to or alteration of your data.
• Actions or content of third parties on the platform.
• Any other matter relating to the Services.

In no event shall Lugh Labs' total liability exceed the amount you paid to Lugh Labs in the 12 months preceding the claim, or $100 USD, whichever is greater.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@lughlabs.ai or using the account deletion feature in your settings. Termination does not entitle you to a refund unless otherwise specified in our refund policy.

10.2 Termination by Lugh Labs

Lugh Labs reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our policies.
• Fraudulent, abusive, or illegal activity.
• Prolonged inactivity.
• Requests by law enforcement or government authorities.

10.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Lugh Labs may delete your account data, though we may retain certain information as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will remain in effect.

11. Governing Law & Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

11.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in Delaware, in accordance with the rules of the American Arbitration Association (AAA).

By agreeing to these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration.

11.3 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12. Changes to Terms

Lugh Labs reserves the right to modify these Terms at any time. We will notify users of material changes by:

• Posting an updated version on our website with a revised "Last Updated" date.
• Sending an email notification to registered users.
• Displaying a prominent notice on the platform.

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Services and terminate your account.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lugh Labs Technologies Inc. regarding the Services.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms or your account without Lugh Labs' prior written consent. Lugh Labs may assign these Terms without restriction.

13.5 Force Majeure

Lugh Labs shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, natural disasters, or internet outages.
